XXXX XXXX, XXXX is a for-profit limited liability company organized in Texas with its headquarters and principle place of business located in Minnesota, and as such is a citizen of Texas and Minnesota. XXXX XXXX XXXX, XXXX, which does business as XXXX XXXX XXXX, is a for-profit limited liability company organized in Texas with its headquarters and principle place of business located in Texas, and as such is a citizen of Texas New Jersey regulations forbid a non-default, third party energy supplier from providing electric generation service to a New Jersey customer without having a written contract signed by that customer. See N.J.A.C. 14:4-7.6 ( A TPS [ third party supplier ] shall not provide electric generation service or gas supply service to a retail customer without the customers written signature on a contract or such alternative forms of verification ) Despite this clear mandate, kilowatt finacials have for years been supplying electricity to us without any signed, written contract, in direct violation of New Jersey law XXXX Additionally, by supplying electric generation service to us in the absence of any contract whatsoever, Defendants are also in direct violation of the section of N.J.A.C. 14:4-7.6 mandating that a third party suppliers contract for the provision of electric service must contain specific information, including, inter alia, the duration of the contract, the price of electricity per kilowatt hour, and a complete list of any other fees that may be charged. We are required to pay Defendants {$0.00} per kilowatt hour for any and all electricity generated by Defendants solar panels mounted on their homes. This rate is higher than the {$0.00} average rate per kilowatt hour charged by default electric service provider, XXXX XXXX XXXX. To the extent Plaintiffs do not use all of the electricity generated by Defendants panels in a given month, they still have to pay Defendants {$0.00} per kilowatt hour for the electricity generated by the panels, but they will receive a credit of only {$0.00} per kilowatt hour from XXXX XXXX XXXX for that unused electricity. Thus, we are forced to pay XXXX an additional {$0.00} per kilowatt hour for the electricity that they use, and an additional {$0.00} per kilowatt hour for electricity that we do not use. are effectively forcing Plaintiffs to subsidize their business. If we were not forced to pay {$0.00} per kilowatt hour of electricity XXXX, then XXXX would only be paid {$0.00} per kilowatt hour for the electricity generated from their solar panels by XXXX XXXX XXXX. In the absence of any signed, written contract, XXXX XXXX is effectively holding us hostage by forcing them to purchase electricity from them, at a higher rate uniformly set by XXXX and to pay undisclosed surcharges at XXXX XXXX whim, for an unspecified amount of time What happened to us was not a one-time incident, an accident, or an oversight. there are numerous common questions of law and fact affecting my rights. a ) Whether N.J.A.C. 14:4-7.6 forbids Defendants from providing electric service to a New Jersey customer without having a written contract signed by that customer ; b. Whether N.J.A.C. 14:4-7.6 requires Defendants to have a signed, written contract for each customer that lists, inter alia, the duration of the contract, the price of electricity per kilowatt hour, and all fees that may be charged ; c. I contacted them a week ago and they said they will speak only with the previous owner- who does not want to speak with me or them. I am in a big fix and can not think of selling my house without this mess being cleared up.

We are under contract to purchase a property that has a solar system leased through Spruce and need Spruce Power to provide recordable release documents so we can close the transaction. Spruce provided an email to us and the seller with the specific steps to follow and information that we needed to provide to process the lease transfer and lien release, as we all a timeline of how long the process would take once all information was submitted, which was 8-12 days. They also offered the ability to expedite the process for a fee of egregious amounts. To completed the process in 5-7 days, the fee is equal to 6 months of lease payments. To expedite to 1 day, the fee is equal to almost 27 months of lease payments. Spruce then proceeded to request additional payments, including a {$550.00} transfer fee and prepaid shipping labels, and to add additional undisclosed steps to the process that pushed the timeline beyond their initial estimate. For example, they stated clearly in the initial communication that the 8-12 day " clock '' would start once all information was received, but then did not officially start the " clock '' on their end until they processed the {$550.00} payment a full 4 days after we submitted the information. This delay is going to force us to move our closing date, which will result in excess mortgage interest charges between when our loan is funded and when we close, and additional expense incurred by us to change our moving plans. The only way to avoid this and close on time is to pay the aforementioned expedite fee. Additionally, they are have been wholly unresponsive. We tried to contact them 2 days before closing to confirm that they had all of the information they needed, but after over 7 hours on hold they never answered. When I was able to get a hold of them the day before closing, the representative could not help, refused to transfer me to a supervisor because they claimed they could not get a hold of anyone, and only offered to have a supervisor call me back on a timeline that would be after our scheduled close, or at best before close but not nearly soon enough to close on time. After I refused and demanded to speak to someone who could resolve the issue, they hung up on me. It is crystal clear that the whole process is designed to force consumers to pay additional fees to the company that are not actually avoidable without additional hardship on consumers. We spoke with them on the phone multiple times throughout the process and each time they make clear that they can finish in time for us to close if we pay a fee, and if not, they will not commit to any closing date. They are using their position of power in that they can delay closing to abuse consumers and extort additional, egregiously high fees from both the seller and buyer in the transaction. This is not a one off interaction, but an intentionally designed process that is unfair and abusive to consumers. In addition to repaying all of the costs that we will incur for this, they should be fined and forced to change their practices.

XXXX XXXX XXXX is my lender for solar panels installed at my residence. Initially, the lender was " XXXX XXXX XXXX '' until my loan was transferred/sold to XXXX XXXX. Upon switching to XXXX XXXX there was no website or digital access to my loan. All correspondence was done via mail, sending a check from my bank. However XXXX XXXX switched to an online service at sometime in the summer of XX/XX/XXXX. This caused many errors and was apparently a difficult and poorly managed transition. My minimum payment was around {$78.00} for a one year grace period per initial contract with the solar manufacturer and XXXX XXXX. After this time period end a new amortization schedule was created making my minimum payment {$280.00}. All of this is fine. However there was also a Federal tax credit for installing solar panels. I received {$4000.00} in a tax refund that I sent in the form of a check to XXXX XXXX. Unfortunately XXXX XXXX lost this check and it was never cashed. Of course I had my bank cancel the check and then payed the minimum payment of {$78.00} for two months, since the {$4000.00} was supposed to have been paid in XX/XX/XXXX. Therefore I paid {$150.00}, which is exactly two months of payments for XX/XX/XXXX and XX/XX/XXXX. This was demonstrated to XXXX XXXX by sending them my bank account statements. Spruce Finance started claiming that I missed a payment and is now requiring me to pay two payments of {$280.00} with an additional {$15.00} per month of " late fees. '' They automatically drafted a payment of {$580.00} without my knowledge from my account. I called their XXXX number and spoke to several telecommunications agents that were not helpful in resolving the issue. I sent a fax on XX/XX/XXXX with my bank statements from XX/XX/XXXX and XX/XX/XXXX that shows I made the payments they are saying I missed. I also sent them a copy of the XX/XX/XXXX statement from XXXX XXXX that shows I owed a minimum payment of {$78.00}, pre-amortization. I received correspondence from them saying they received my fax are are again reviewing my account. However they are still saying I owe them {$600.00} in past due amounts. I have records from my bank that prove I never missed a payment. These documents have been sent to Spruce Finance and they have acknowledged that they were received. However they have done nothing to fix the problem. I have continued to make the minimum payments of {$280.00}. It appears that either Spruce Finance has poor account management, which poses a huge risk to consumers, or they are engaging is criminal practices that effect multiple clients. Essentially, they have skimmed $ XXXX monthly late fees from me when I have never missed a payment. At this point, given their inadequate communication ability, I am not sure I will get this money back. So who is benefiting from the money I have lost? This organization is ready for an external audit to expose their irresponsible and/or criminal practices. Thank you.

I tried to call Spruce few times and I was never able to speak to their representative. I emailed them shown below. I am a former XXXX XXXX customer and my account has been acquired to your company few years ago. My lease number was # # # # from XXXX then I was assigned to agreement number # # # # upon Spruce acquisition. There are few issues on the recent invoice XXXX and other general issues as below. 1. Starting this month, I received the invoice with a new Agreement number which is XXXX. I was aware of the change thanks to a letter sent to me last month. Now, the problem is you are billing me {$170.00} instead of {$160.00} which was agreed on the original lease. I see that Spruce began adding State , County and District Tax for the first time. However, the lease agreement states on 2.2. ( b ) Based on current tax rates as of the date you are signing this Lease, the estimated personal property, sales and use taxes you will pay on the monthly Lease Payments during the Term are {$0.00}. I was wondering if this additional charge incurred while updating all your account with the new agreement number. Please, rectify this issue and send me the confirmation. 2. Your data of the lease solar panel production is bogus because it shows the system continued its production during XXXX and XXXX. However, I renovated my home and the system was uninstalled on XXXX. It was out of service until XX/XX/XXXX when it was reinstalled after the construction was completed. How can the system generate the energy when it was off the grid and was on the ground by pieces. 3. I tried to sign on the newly designed website and clicked the billing button. It did not work. To be honest, I was never a fan of your web portal because it was poorly designed and maintained from the beginning. When your letter with the new Agreement number mentioned about newly designed web portal and promised Call-back Functionality, I was hoping that would make your customer service experience better because it was never the case in the past. But then again, I tried to resolve the issues by calling and leaving my call back number. No one has called back after a day. I am very disappointed. I created another account with a different email address and a new Agreement number. It did not work either. 4. I received the text from XXXX saying there was a service appointment to confirm. First, I ignored because the caller area code was from XXXX, CA and thought it was a scam phone call. Later, another text sent had mentioned that the work order was assigned by Spruce Finance. I'd wish if Spruce can do a better job communicating with their customers. Please, get back to me with the proper follow-up in timely manner. Should you have any questions, feel free to contact me.

In XXXX we purchase a home which already had solar. In XXXX our bills from XXXX started rising up. The first bill was XXXX plus the payments we would make to the solar company with were close to XXXX. Then XXXX came along and it was XXXX plus the solar bills which ended up at about XXXX. I started to question why our bills were so high if we live in a house not a building. If we had solar it made no sense. The solar company stated our system was offline but we were getting billed based on estimates. I kept emailing and calling asking them to come out and check our system. In XXXX my settlement bill for XXXX is XXXX. I kept on calling and recording the representatives stating we were offline and our solar wasn't producing. I've opened multiple complaints with different government agencies and nobody seems to help. Everybody tends to send the ball a different way. They finally sent a company out XX/XX/XXXX which stated our system was fine. Then after that I hired a solar consultant that came out and showed me picture of our system and it was of course not working and a diagnostic of the problem. As we already new the solar system wasn't working. Meanwhile they sent me to collection. Which I find unfair that they would send me to collection for a service I am not receiving and also for them billing me on something that's not there. I've reached out to them to make a remedy of this issue and they have not been wanting to help. They not also not performing any more solar systems but make us stay hand tied because they tell you to add more panels to your house with another company yet no company wants to add due to the house already having a system in place. I have already endured a lot of expenses with this issue to have them ruined my credit with a service I didn't receive. I can provide pictures, bills, and emails.They state on the complaint I opened previously I canceled an appointment but how are you giving me one day notice to be home. I asked to be rescheduled for another day and they said they would call me back. Til this day I have not received a call. I also have a recording where they state if I don't pay they would send me to collection. It seems un fair they want to go get paid for a service I wasn't getting and not wanting to come out and fix the issue. I hope the CFPB takes action on this to help the consumer not get screwed over these companies that take advantage of the people. Im drowining in bills to keep our electricity on and yet this companies are not doing one thing to resolve the matter. I've searched and there are many people like me trying to get help.

I entered into a 15 year lease for solar panels in XXXX with a company that is now bankrupt, XXXX. The lease specifies monthly payments that escalate by approximately 3 % per year. The entity collecting the payments has changed several times since then, and all the servicers abided by the original contract except the most recent one, XXXX XXXX Experts which also does business as Spruce. In XX/XX/XXXX, they started billing me for the monthly amount due in XXXX instead of the contracted amount for the current year. Because this was set up as a direct debit from a checking account, I also contacted my bank on multiple occasions and they helped me receive refunds for the incorrect amounts. When the wrong amount continued to be debited, the bank blocked Spruce 's account number after reading my original contract with XXXX and agreeing that Spruce was not abiding by the contact terms. The very next month, Spruce attempted to circumvent that block by putting through a debit under a different name, which was caught by my bank and not paid. At that point, the bank advised that the only way to stop the debits was to close the account, which I did, at considerable inconvenience. I started paying with paper checks from that point forward. Subsequent invoices from Spruce started showing seemingly random, wildly high amounts. After numerous unsuccessful attempts to contact them, I lodged a complaint with the Maryland Office of the Attorney General who sent them the attached letter. Spruce completely ignored the correspondence, and I was advised by my representative at Maryland XXXX that there was nothing more they could do to assist. Today, I continue to pay the correct amounts per the original contract by paper check and continue to receive invoices for amounts that appear to have been plucked out of thin air. I went online to see if others had similar experiences with this company and came across their XXXX ranking of XXXX Anything you can do to assist me in getting the attention of this rogue company and getting them to honor their contracts is most appreciated.

I'M NOT REALLY SURE HOW I CAME INTO CONTACT WITH XXXX XXXX XXXX COMPANY, BUT AFTER AN AGENT REPRESENTING THE COMPANY CAME OUT TO MY HOME, COMPLETED THE CONSULTATION, I WAS INFORMED THAT I QUALIFIED FOR SOLAR. MY CREDIT WAS RAN AND I WAS APPROVE FOR FINANCING. THIS TRANSPIRED IN XXXX OF XXXX. SEVERAL MONTHS WENTS BY WITH NO CONTACT IN XXXX OF XXXX I CALLED THE NUMBER ON THE CONTRACT THAT WAS LEFT AT MY HOME FROM THE INITIAL VISIT AND WAS INFORMED THAT THE INSTALLERS WOULD ARRIVE THE FOLLOWING WEEK. THEY DID ARRIVE AND THEIR WORK VAN HAD LOTS OF EQUIPMENT IN IT AND ON TOP. I WAS EXCITED THAT MY SOLAR WAS BEING INSTALLED. SOLAR PANELS WERE INSTALLED AND A BOX SIMILAR TO FUSEBOX WAS MOUNTED ON THE SIDE OF MY HOME, NOTHING ON THE INSIDE OF IT, JUST THE BOX. I NEVER HEARD ANY MORE FROM THE COMPANY. A REPRESENTATIVE RETURNED TO THE LINE AND SAID I'M SORRY BUT YOU HAVE TO PAY THIS DEBT. I EXPLAINED THAT I NEVER SIGNED AND WHY WOULD THEY PAY A COMPANY FOR INCOMPLETE WORK. I FEEL THAT THEY WERE WORKING AS A TEAM. THE COMPANY MAKES THE SALE, THE SALESMAN MAKES THE COMMISSION, AND NO MATTER WHAT, I'M ON THE HOOK FOR THE DEBT.MY CREDIT HAS TAKEN A SERIOUS BEATING. I have been having lots of billing related trouble ( incorrect bills, Automatic payment stopped without any reason, XXXX minutes waiting time to get their representative on phone, email responses after XXXX days etc ) with my XXXX XXXX company ( SprucePower ) for the last 2 years. My account number with Spruce Power is XXXX. I had numerous email exchanges with their support team regarding these billing snafus. In addition to these billing related issues, there have been 2 times in the past 2 years when my credit card was used fraudulently within a few weeks of registering with them for my monthly account payment. These 2 cards I used very rarely otherwise. My latest latest billing issue started in XXXX when their automatic payment system failed to pull out the monthly account fee from my bank account. I followed up with them over email ( transcript file name XXXX ) and when the online access issue was resolved on XX/XX/XXXX, I payed the balance for XXXX and XXXX along with the payment for XXXX that wasn't due until end of the month. To my surprise, Spruce Power LLC business marked my account as delinquent for the unpaid balance for 2 months ( XXXX & XXXX ) and reported this to XXXX and other credit reporting companies. I filed my dispute with Experian w.r.t these facts ( that I tried my level best to resolve the billing issue with my XXXX provider company and the bill for 2 months wasn't being payed due to an issue with their backend system without my fault ). My dispute was closed within XXXX weeks without providing me any further details and an opportunity to me to provide more facts.

The Story This is basically an office front that will look for bank financing for you to purchase panels and then subcontracts out to local companies to install solar panels. My project took nearly a year, when initial estimate was 3-6 months. My project manager quit that company, which was a red flag, but the panels were already delivered. I didn't know if I could cancel at that point, but I probably should have asked. They used one loan company, XXXX XXXX, to obtain the 50 % down portion ( {$21000.00} ) and in the middle of the construction, switched to a second loan company, XXXX XXXX , XXXX promising to pay off the first loan, but they never did, leaving me with 2 loans for 150 % ( {$63000.00} total ) of the promised cost. Once I found out, magically, no one answers the phone at XXXX XXXX. I called both loan companies to try to find out what my options are, but I couldn't get any help from either of them. Half of the money obtained from XXXX should be going to XXXX XXXX to pay off the first loan and I feel defrauded and asked for help, but got none. After months of calling and trying to communicate with the Finance dept at XXXX XXXX, the Finance chief quit the company and told me that it would be unlikely that they will refund the money owed. They knew what they were doing when they made false promises.

I got a letter sent on XX/XX/2022 from Spruce, associated with XXXX XXXX XXXX XXXX. The information says that the Spruce Spending Account has been closed. I called the number on the letter on XX/XX/2022 to inquire about the account as I never opened a Spruce Account and have never heard of this financial institution. I have recently closed two credit cards on my own accord, one with XXXX XXXX and the other with XXXX XXXX. I asked if this account is associated with either card and was told no. I was told that because I pay my taxes on line this could be an account associated with that. I asked about when the account was opened and they can not give me that information. They said this might not be an account associated with my IRS payment. My IRS payment btw was paid as a direct debit from my savings account. They also said this account was closed because of fraudulent activity so most likely not associated with my IRS payment. They said they would open a fraud case and I can call back with case number XXXX. Why was a fraudulent account opened in my name? What charges were made? What controls does SpruceXXXX XXXX XXXX XXXX have to prevent this from happening? When I did nothing wrong, why would I have to micro manage this issue with Spruce as opposed to them being proactive and doing something?

I have been contacting this company since XX/XX/2020 asking to exercise the buy out option since it has been 5 years. I was ignored and promised a response over and over again. i wrote 11 letters called 10x and send 6 emails with no response. finally on XX/XX/2020 Ms XXXX responded to me and advised me they would take the XXXX buy out option and I advised her I would pay it on XX/XX/2020, I asked her to send me an email or a letter something stating that the XXXX would be the buy out and an address were to send the payment. I received nothing, I called her again on XX/XX/2020 and asked her again for something in writing and a payment address, she let me know someone from legal would send me something. Today is the day and I have nothing still. I can't send a payment to the previous address because the last 2 payment I send and I have proof of still have not posted to my account. I am not sure why they are not posting my previous payments. I need a letter stating the XXXX is the buy out amount and an address were to send the payment or how to make the payment. Please help, your company was able to get them to call me so I hope your company is able to get them to send me the documents to get this taken care of. This is their contract I am going by they should be forced to follow their own contract.

Got the loan for a window replacement upgrade. I was told that I would not pay interest as long as I paid within 12 months. Loan originated XX/XX/XXXX and was paid off XX/XX/XXXX. The company changed service providers in XX/XX/XXXX where they previously showed the deferred interest on the loan statement. In XX/XX/XXXX the statements provided showed that I was paying 9.99 % interest on an 18 month loan. I made various calls to the company opening investigations. I had made arrangements to have the full principal balance paid in full before maturity. Again in XX/XX/XXXX I called as the balance was a little over {$1000.00} and said there was no reason to pay as the terms were 0 % interest and they owed me money. I was told that I had to pay the balance to close the account. I would need to call and ask them to close which I did on XX/XX/XXXX. I got a letter on XX/XX/XXXX saying that the account was closed. I called numerous times to follow up with them on the interest owed to me in the amount of {$1700.00}. They said it would be processed in 60 days. This is not what I understood to be the case when I initially entered into the agreement. The first statements always showed the deferred interest until the change of service providers.

THEY SENT A BILL FOR PAST DUE AMOUNTS WHICH I HAD SENT A CHEK TO XXXX FOR THE MONTHS OF XXXX & XXXX. I TRIED CALLING THE NUMBER FOR THE FINANCIAL DIVISION AND NO RESPONSE. I WAS ON HOLD FOR AN HOUR AND A HALF, I TRIED AGAIN THE NEXT DAY THE SAME AND NO RESPONSE. I SENT AN E-MAIL OUTLINING THE PAYMENT AND CORRECT E-MAIL ADDRESS AND INCLUDED MY CELL # AND HOME PHONE #. NO RESPONSE ... .THEY HAVE AN F RATING ON THE XXXX WEBSITE AND I AM NOT ALONE THERE ARE MANY CUSTOMERS GOING THRU THIS NIGHTMARE. THE BILL THEY SENT WAS FOR {$350.00} THAT INCLUDES THE 2 MONTHS ALREADY PD. THEY CASHED THE CHECK AS IT APPEARED ON MY BANK STATEMENT AS OF XXXX. THEY SUPPOSEDLY SENT AN EMAIL ON XX/XX/17. I STILL HAVE NOT HEARD BACK FROM THE COMPANY. THE PHONE # THEY GIVE IS : XXXX. NO ANSWER JUST MUSIC AND WHEN IT BEGINS THE 3RD TIME AROUND YOU KNOW THEY AREN'T PICKING UP.

I have paid this company every month. They call me repeatedly even after they have been paid, Four to Five times a day. as early at XXXX XXXX in the morning. YES, I owe them money, but I cant pay them until I get paid, and I pay them every month. Recenly I was in very sick with XXXX, and I'm not thinking about paying anybody. They received their payment and then they dinged my credit for being past thirty days. I get it, but have a heart. I've written on my payments, its all the money I have. They cash the check, then call me five times in one day. They wont stop. There robo calls. I don't answer because then I get yelled at. I'm done. I pay these people every single month. Yes, The pay might be five or even ten days late, but they get paid every month when I get paid. This harassment has got to stop. Did 2 cash outs from XXXX XXXX to spruce. The second one went through but the first one never showed on my transctions. XXXX claims they never received XXXX deposit that XXXX XXXX says sent and provided a trace number for which is XXXX. I requested documentation from spruce stating they didn't receive payment which they ignored my request and didn't provide as well as asked for the a payment trace which they wouldn't do or even acknowledge that request just went around it. Payment is sent to company each month. They have not recorded payments sent then proceeded to charge late charges. I submitted my proof of payments, since XX/XX/2020 still awaiting adjustments. Also company requesting Automatic Withdraws or will charge fees. Also their invoices are hard to read and do not show balance or principle payment. I send more than initial payment but dont see overpaid to principal or balance. Is there standards or compliance procedures for consumer invoices?

This lender continues to call my work phone number after numerous requests to remove said number. I have explained that I am unable to receive personal calls while at work, yet they continue. The last person I spoke to assured me that the number had been removed from their system. I have had difficulty paying this bill and if I lose my job because they continue to call, I will never be able to pay them.
